3. About III Ventures, Illuminate, and Core Properties
The III Ventures platform is operated by Illuminate Consult LLC, a California limited liability company, which serves as the primary operating and employment entity for the platform. III Ventures is an investment platform that supports company formation and growth through a combination of capital partnerships, executive advisory, and venture studio services.

Core Properties Inc. is a real estate holding and services company within the broader platform. Core Properties LLC operates under separate legal agreements and provides residential and commercial real estate brokerage and investment services. Real Property Management Core (“RPM Core”) is a DBA of Core Properties Inc. and operates under a Real Property Management franchise agreement, providing property management services exclusively.

Core Properties LLC and RPM Core are separate legal entities and regulatory frameworks. All services are provided in accordance with applicable licensing requirements.

All inter-company relationships among Illuminate Consult LLC, III Ventures, Core Properties Inc., and their respective affiliates are conducted on an arm’s-length basis. Principals may serve on the boards of directors or as board observers of companies in which III Ventures has an advisory or business relationship. The platform has adopted policies to manage potential conflicts arising from such board service. Principals who serve on external or portfolio boards do so in their individual capacities and not on behalf of the III Ventures platform, unless expressly stated otherwise in a separate agreement.

11.2 Advisory and Studio Services
Illuminate provides advisory, operational, and venture studio services pursuant to executed written agreements only. No advisory or studio services are provided through the Site, and nothing on the Site constitutes an offer to provide such services. Illuminate expressly disclaims any liability for actions taken by any person, company, or third party based on information available on the Site or in any Materials. The platform manage potential conflicts arising from their roles on a case-by-case basis, and any material arrangements are disclosed to relevant parties.

11.3 No Broker-Dealer Activity
No entity on the platform acts as a broker-dealer, placement agent, or financial intermediary in connection with any portfolio company’s securities transactions. Any introduction of a company is made for informational and relationship purposes only and does not constitute a securities offering or solicitation. No platform entity receives transaction-based compensation for any such introductions.

12. No Partnership or Agency Relationship
Nothing on the Site or in any Materials shall be deemed to create any partnership, joint venture, agency, employment, or representative relationship between the platform and any portfolio company, founder, investor, website user, or other person. No platform entity acts as an agent, broker, representative, fiduciary, or intermediary for any person unless expressly agreed in a separate written agreement.

No person is authorized to bind Illuminate, III Ventures, or any affiliated entity to any agreement, representation, or obligation unless expressly authorized in writing.

13. Entity Separation
Core Properties LLC and RPM Core are separate legal entities. RPM Core operates exclusively under the Real Property Management franchise agreement (www.rpm-core.com). Core Properties LLC operates under a separate legal agreements. All inter-entity arrangements are conducted on an arm’s-length basis.

14. RPM Core Services
RPM Core provides property management services only per the RPM franchise agreement. For property management services, visit www.rpm-core.com. Real estate sales, commercial brokerage, and investment services are provided by Core Properties LLC under separate legal entities.

15. Regulatory Filings and State Securities Law
The platform complies with applicable securities laws in connection with any offering of securities. As of the date of these Disclaimers, III Ventures has not filed any securities offering documents and has not commenced any offering of securities. Any future offering will be conducted in compliance with applicable federal and state securities laws.

Nothing on the Site constitutes an offer or solicitation to sell securities in any jurisdiction where such offer or solicitation is not authorized or where the person making such offer is not qualified to do so.
